1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and admarkt ("Company," "we," "us," or "our") concerning your access to and use of the admarkt platform, including our website, mobile application, and related services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Platform.

2. Platform Description

admarkt is a two-sided online marketplace that connects:

• Business Owners ("Space Owners"): Individuals or entities who own or control physical locations and wish to monetize unconventional advertising spaces such as walls, digital screens, menu spaces, and other creative advertising opportunities.
• Advertisers ("Advertisers"): Individuals or entities seeking to discover, filter, and book creative advertising spaces for promotional purposes.

The Platform facilitates connections, bookings, and transactions between Space Owners and Advertisers but is not a party to the actual advertising agreements between users.

3. User Accounts

3.1 Account Registration

To access certain features of the Platform, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

3.2 Account Types

Users may register as:

• Space Owner: To list and manage advertising spaces
• Advertiser: To browse and book advertising spaces
• Dual Account: Users may operate as both Space Owners and Advertisers

3.3 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

4. Space Owner Terms

4.1 Listing Requirements

As a Space Owner, you agree to:

• Provide accurate descriptions, photos, and specifications of advertising spaces
• Have legal authority to offer the advertising space for rent
• Comply with all applicable laws, regulations, and zoning requirements
• Honor confirmed bookings and maintain space availability as listed
• Respond promptly to Advertiser inquiries and booking requests
• Maintain the quality and condition of listed spaces

4.2 Pricing and Fees

Space Owners set their own pricing for advertising spaces. admarkt charges a service fee (commission) on each successful booking, which will be deducted from the payment before transfer to the Space Owner. Current fee structures are available in your account dashboard.

4.3 Content Approval Rights

Space Owners retain the right to approve or reject advertising content that will be displayed in their spaces, provided such decisions comply with applicable anti-discrimination laws.

5. Advertiser Terms

5.1 Booking and Payment

As an Advertiser, you agree to:

• Provide accurate information about your advertising campaigns
• Pay all fees associated with bookings in a timely manner
• Comply with the Space Owner's requirements and restrictions
• Ensure advertising content complies with all applicable laws
• Respect the Space Owner's property and business operations

5.2 Advertising Content Standards

All advertising content must:

• Comply with applicable advertising laws and regulations
• Not contain illegal, offensive, or inappropriate material
• Not infringe on intellectual property rights of others
• Not be misleading, deceptive, or fraudulent
• Meet industry standards and best practices

5.3 Cancellation and Refunds

Cancellation policies are set by individual Space Owners and displayed in their listings. Refunds, if applicable, will be processed according to the Space Owner's cancellation policy and admarkt's refund procedures.

6. Payments and Fees

6.1 Payment Processing

All payments are processed through our third-party payment processors. By using the Platform, you agree to the terms and conditions of our payment processors.

6.2 Service Fees

admarkt charges service fees for facilitating transactions on the Platform:

• Space Owner Fee: A percentage of each booking amount
• Advertiser Fee: A service fee added to booking costs

All fees are clearly disclosed before transaction completion. We reserve the right to modify our fee structure with advance notice.

6.3 Taxes

Users are responsible for determining and paying all applicable taxes related to their use of the Platform. admarkt may collect and remit taxes as required by law.

7. Prohibited Activities

You agree not to:

• Violate any laws, regulations, or third-party rights
• Provide false, misleading, or fraudulent information
• Circumvent the Platform to avoid paying fees
• Interfere with or disrupt the Platform's operation
• Use automated systems to access the Platform without permission
• Collect user information without consent
• Impersonate others or misrepresent your affiliation
• Post or transmit harmful, offensive, or illegal content
• Engage in discriminatory practices
• Manipulate reviews, ratings, or feedback

8. Intellectual Property

8.1 Platform Content

The Platform and its content, features, and functionality are owned by admarkt and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

8.2 User Content

You retain ownership of content you submit to the Platform. By submitting content, you grant admarkt a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for operating and promoting the Platform.

8.3 Trademark

"admarkt" and our logo are trademarks of admarkt. You may not use our trademarks without prior written consent.

9. Disclaimers and Limitations of Liability

9.1 Platform "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9.2 User Interactions

admarkt is not a party to agreements between Space Owners and Advertisers. We are not responsible for the conduct, quality, safety, or legality of spaces listed, the accuracy of listings, or the ability of users to complete transactions.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADMARKT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10. Indemnification

You agree to indemnify, defend, and hold harmless admarkt and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Platform, violation of these Terms, or infringement of any rights of another party.

11. Dispute Resolution

11.1 User Disputes

Disputes between users should be resolved directly between the parties. admarkt may, at its discretion, provide assistance in resolving disputes but is not obligated to do so.

11.2 Arbitration

Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

11.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which admarkt is registered, without regard to conflict of law principles.

12. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent, illegal, or harmful activity
• Extended periods of inactivity
• At our sole discretion for any reason

You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform will immediately cease.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Platform. Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.

14. General Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between you and admarkt regarding the Platform and supersede all prior agreements.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
